On May, 24-27 in Sudak city the IV UBA Annual Conference took place. The purpose of conference was a discussion of topical legal problems, problems of legal profession, advanced training and exchange of experience on urgent issues which are of interest for a legal community.

Annual conferences unite lawyers from all regions of Ukraine and promote consolidation and progressive development of legal community in Ukraine. Within the framework of conference 16 measures, devoted to a topical legal question, were held. Also during the IV UBA Annual Conference a set of informal measures took place: Presidential reception in honour to the partners of UBA, reception of the Crimean office of the UBA, et cetera. During the Presidential reception the partners of association were stately awarded. The award presentation was led by the President of the UBA personally.

Lavrynovych & Partners was represented by its Associated Partner Stanislav Skrypnyk. As a plenipotentiary of L&P, Stanislav received the honorary award.

Further cooperation and partnership development are of prior directions of external firm policy.

On 1 May 2007 the representative office of Law firm Lavrynovych & Partners in Chicago, USA was opened. It is the second representative office of the firm. The first one was opened in Odessa, Ukraine on 1 September 2006.

Granting the legal services to Ukrainian clients, which work in the USA and to clients from the USA which do their business in Ukraine, is a primary purpose of opening of the office in Chicago. Permanent perfection and expansion of spectrum of legal services is one of the fundamental principles of L&P.

The coordinator of the L&P office in the United States is Yuriy Tkachenko.

Yuriy Tkachenko is a licensed Attorney at Law of Ukraine and admitted to practice in Illinois by the Supreme Court of Illinois as a Foreign Legal Consultant.

Mr. Tkachenko resides in Chicago, Illinois and concentrates his practice in International Private Law, Ukrainian Corporate Law, Commercial Law, Civil Law, Litigation and Arbitration. As an Attorney in Ukraine, he represents interests of foreign entities and individuals with respect to their business interests.

Lavrynovych and Partners have provided legal support in course of obtaining of the permit of the Antimonopoly Committee of Ukraine on purchase of more then 50% of shares of Odessa Cognac Factory by Megapolis Trading House.

The Megapolis holds a strong market position in international and Ukrainian vodka market and Odessa cognac factory (OCF) is one of the market leaders in cognac production in Ukraine. Final merge of the companies will be finished by the III quarter 2007.

The stock purchase could significantly strengthen the position of the Megapolis in alcohol market of Ukraine and rise the OCF’s share of the cognac market up to 30% (at the moment it is about 23%).

The assessed value of the holding company-to-be is about USD 1,2 billion.

On 17 April Lavrynovych & Partners in cooperation with Conference House held the Business-breakfast «Mergers & acquisitions in Ukraine. Questions of the antimonopoly regulation».

Judging by the number of participants, the questions contemplated during the business-breakfast are of vital importance for a great deal of Ukrainian and international companies working in Ukraine. The questions raised in course of the event can often become a stumbling block for company’s restructuring or merger.

The experts on antimonopoly regulation of M&A were Maksym Lavrynovych – Managing Partner at Lavrynovych & Partners, and Yuri Radzievsky – senior associate.

The questions on the monopolization, concentration and different aspects of obtaining the permit of the Antimonopoly Committee of Ukraine (AMCU) on concentration were canvassed in course of the Business-breakfast. Participants discussed a commonly encountered problem of what is considered as a concentration and what is not; who is considered as a participant of concentration and who is not; when obtaining the permit of the AMCU on concentration is required.

Speakers also gave consideration to the procedure of obtaining the permit on concentration, assets acquisition by a non-resident in Ukraine and differences between the competitive activities and anticompetitive coordinated-actions.

In completion of the Business-breakfast the questions on the responsibility for the violation in the field of antimonopoly regulation were discussed.

The Business-breakfast provided participants with exclusive opportunity to share their experience of juridical activity in the field of antimonopoly regulation and to communicate with the key specialists in a friendly atmosphere.

A series of similar events is planned in the foreseeable future for comprehensive examination of legal issues arising in course of M&A.

Experts of LLavrynovych and Partners will conduct due diligence for acquisition of Closed Joint-Stock Company «Ludmylivskyy elevator» by Louis Dreyfus, the third largest Ukrainian grain exporter.

This acquisition would become one of the measures planned to increase the company’s export facilities. In 2006 Louis Dreyfus held nearly 10% of the grain-export market of Ukraine. According to the experts in 2007 its market share can grow up to 15-16%, partly due to acquisition of Ludmylivskyy elevator CJSC.

Due diligence will be conducted by the team of lawyers headed by Managing Partner of the firm Mr. Maksym Lavrynovych and Associate Partner Mr. Stanislav Skrypnyck.

The «FORUM of the Yuridicheskaya Practika» had passed on 15 March. The «FORUM» was a culmination event of the «Day of the Yuridicheskaya Practika».

Experts of Lavrynovych and Partners have provided legal support in course of establishment of Closed Joint-Stock Company «Kherson oil refining factory».

The entity is established to conduct reconstruction and modernization of production capacities of Open Joint-Stock Company «Khersonnaftopererobka». The strategic investor, Oil Company Alliance-Ukraine LLC, is planning to invest the necessary funds into the reconstruction. Legal support of the project was provided by the team of lawyers headed by Managing Partner of the firm Mr. Maksym Lavrynovych and Associate Partner Mr. Stanislav Skrypnyck.
