Under an agreement with the international law firm White & Case, Lavrynovych & Partners has advised the Ukrainian Finance Ministry in the process of negotiating and signing a guarantee agreement for a USD 376m (UAH 3bn) long-term loan provided by the Russian Sberbank for the Ukrainian state-run road construction company Ukravtodor. The respective loan agreement was signed on 22 July 2011. The loan was provided for a term of five years.

Ukravtodor intends to use the loan to finance the construction and reconstruction of Ukrainian motor roads, including those intended to be used in preparations for the Euro 2012 football championship.

On the part of Lavrynovych & Partners, legal support for the project at its negotiation, drafting and execution stages was provided by Partner Iryna Marushko, who heads the firm’s Banking & Finance practice, and by Senior Associate Olena Zubchenko.

Under an agreement with the leading international law firm White & Case, Lavrynovych & Partners has advised the Ukrainian Ministry of Finance on Ukrainian laws in the course of preparations for an issue in 2011 of $1.25bn 144A/Reg S external state loan bonds maturing in 2016 at an interest rate of 6.25% per annum.

The bond issue took place on 17 June. The Eurobonds were placed at the interest rate, which was unprecedentedly low for a five-year instrument in the entire history of Ukraine’s external public borrowing.

Legal support at all stages of the Eurobond issue was provided by Partner Iryna Marushko, the head of the firm’s Banking & Finance practice, and Senior Associate Olena Zubchenko.

Lavrynovych & Partners’ Partner Iryna Marushko and Senior Associate Andriy Moroz received a special mention in the ranking of best Ukrainian lawyers published by the Kyiv-based English-language newspaper Kyiv Post on 1 July.

The Kyiv Post asked more than 70 top commercial law firms to nominate three of the nation’s top lawyers giving them a ranking from one to three; nominations of in-house lawyers were forbidden. Three points were awarded for the first place, two for the second place and one for the third place.

Iryna Marushko and Andriy Moroz received ample praise from their peers and were highlighted in the ranking of best Ukrainian lawyers.

On 15 June 2011 lawyers of Lavrynovych & Partners successfully represented ArcelorMittal Kryvyi Rih PJSC in a case based on its administrative claim against the Kryvyi Rih-based specialized state tax inspection for mining and metallurgical enterprises seeking to cancel tax notices for over UAH 100 million.

The Dnipropetrovsk district administrative court allowed ArcelorMittal Kryvyi Rih PJSC’s claims in their entirety.

Legal support for the project was provided by Lavrynovych & Partners lawyers Roman Blazhko and Dmytro Savchuk under the guidance of Partner Iryna Marushko.

ArcelorMittal Kryvyi Rih PJSC is Ukraine’s largest metallurgical enterprise and a member of the world’s largest group of metallurgical companies, ArcelorMittal.

The aggregate amount of tax disputes won by lawyers of Lavrynovych & Partners for this client over the last six months totals over UAH 1 billion.

Lavrynovych & Partners has acted as a legal advisor in the process of drafting a memorandum on participation in a horizontal monitoring experiment, signed recently between the State Tax Service of Ukraine and ArcelorMittal Kryvyi Rih PJSC.

The experiment aims to introduce an essentially new model of cooperation between tax authorities and taxpayers. It is supposed to result in the creation and practical implementation of a new system for administering taxes and other duties, which will be more effective for the budget and less burdensome for taxpayers, and in the actual abandonment of documentary audits (except when the duty to perform such audits is imposed on a tax authority by law).

Horizontal monitoring involves complete and timely disclosure of relevant information by taxpayers and is expected to replace on-site documentary audits and other forms of tax control.

On the part of Lavrynovych & Partners, the memorandum was drafted by Partner Iryna Marushko and Associates Roman Blazhko and Dmytro Savchuk.

The new system will come into effect by the end of 2011. The starting date of the experiment will be set by resolution of the Cabinet of Ministers of Ukraine.

The 23rd Annual Meeting of the International Lawyers Network (ILN), organized by the ILN with the support of MGRA & Associados, was held in Lisbon on 9-12 June 2011.

The ILN’s Annual Meeting was held in the form of a forum where a range of pressing legal issues were discussed and where professionals from various countries of the world shared their experience.

Lavrynovych & Partners was represented at the event by its Senior Associate Olena Zubchenko, who took an active part in the forum. Olena Zubchenko also attended a series of roundtables held as part of the event and joined in discussions of corporate and litigation matters.

2011 marks 10 years since the first arbitration was commenced under the Energy Charter Treaty (ECT). SCC, ICSID and the Energy Charter Secretariat held a conference to celebrate this anniversary in Stockholm on 9-10 June 2011.

The conference participants summarized the results of the first 10 years of arbitration under the Energy Charter Treaty, analyzed relevant awards and judgments and discussed the most recent investment arbitration trends.

Lavrynovych&Partners was represented at the event by its Associate Partner Igor Siusel, who became an active participant in the two-day conference and joined the discussions of key issues related to intergovernmental cooperation in the energy sector.

The Energy Charter Treaty (ECT) was signed in December 1994 and entered into force in April 1998. This Treaty is a legally binding multilateral instrument, the only one of its kind dealing specifically with intergovernmental cooperation in the energy sector. Its provisions are implemented by the Energy Charter Conference, an international intergovernmental organization founded back in 1994.

Partner of Lavrynovych & Partners, Iryna Marushko, attended the X Annual Conference “International Corporate Solutions 2011 – Ukraine”, which was held in Kyiv on 12 May.

The conference focused on such issues as incorporation advantages and taxation of Cyprus companies, the banking system of Cyprus, tax benefits for individuals relocating to the UK, non-UK residents investing in UK property, as well as US tax considerations relevant to inbound US investments, legal aspects of business dealings by non-residents in Ukraine, and corporate business restructuring in Ukraine.

Conference reporters included representative of top Ukrainian and European companies operating in the field of international corporate law, tax planning, assets protection, and audit.
