Lavrynovych & Partners Law Firm held on February 19 a working breakfast with the owners and managers of leading companies; the event was devoted to benefits and drawbacks of informal agreements in business and marriage.

Maksym Lavrynovych, the Firm’s Managing Partner, devoted his report to recent abusive practices committed by trustees, in particular, trusts registered in offshore zones, with regard to assets owned by Ukrainian businessmen. The second part of the report delivered by Maksym Lavrynovych was about efficient methods of protecting businesses in the event of specific force majeure suffered by the owners of such businesses.

Oleksandr Onufrienko, Head of Legal Department at KINTO, an asset management company, who was the special guest of the event, reviewed a series of high-profile hostile takeovers which had occurred in Ukraine and CIS member states over the past two years. Oleksandr Onufrienko went into detail about the Boris Berezovsky vs. Roman Abramovich case at London’s Commercial Court regarding indemnity of losses incurred from the sale of shares in Sibneft and Rusal in 2001-2004, and an attempt of Cyprus lawyers to take over Rosinka group of companies.

Representatives of the business community participated in a lively discussion and received practical advice.

Managing Partner of Lavrynovych & Partners Law Firm Maksym Lavrynovych visited on January 25 the 9th Ukrainian Lunch-Conference entitled “Ukraine: East or West – The Wrong Dilemma?” which was held in Davos, Switzerland.

The Conference included a discussion about the development of Ukraine and its relations with the neighboring countries, the EU and Customs Union, as well as the view of Ukraine’s and Europe’s key policies on the country’s future.

Since January 2013, Lavrynovych & Partners Law Firm have provided legal advice to Universal Bank in analyzing documents related to the pending lawsuits against one of the Bank’s debtors with a substantial overdue debt. Lavrynovych & Partners Law Firm has acted as a legal advisor on Ukrainian Law issues in the process of providing state guarantees and preparing an agreement between Ukrtransgaz SC and Deutsche Bank AG for opening a EUR 53 million loan facility to implement a project related to modernization of the Bar compressor station of Soyuz gas pipeline.

The German party plan to finance 85% of the project costs with a loan to be extended by German bank Deutsche Bank AG.

June 27, 2013 representatives of WebMoney Ukraine transfer system, Ukrainian Internet Association and Lavrynovych & Partners Law Firm held a joint online e-commerce legal regulations briefing where discussed e-commerce legal regulations.

Anna Pushkariova and Roman Blazhko, Senior Associates of Lavrynovych & Partners answered briefing participant questions on the possibility of access renewal to the frozen assets, tax risks and future operation of e-payment systems in Ukraine.

As a reminder, at the beginning of June 2013 the Ministry of Revenues and Taxes of Ukraine  secured the arrest of the largest online payments operator (WebMoney)  accounts. In 2012 total turnover of WebMoney system constituted was  $3,337 billion, and number of transactions reached 27,4 million.

In 2012, Lavrynovych & Partners Law Firm took care of a specialized children’s home set up by Zhytomyr Oblast Council in the city of Novohrad-Volynsky. The specialized children’s home in Novograd-Volynsky is intended to provide healthcare and social protection for orphan children, children without parental care, physically and mentally handicapped children.

On the holidays’ eve, Lavrynovych & Partners also wished a Merry Christmas and a Happy New Year to the orphans from Oberig children’s home in the city of Bohuslav, Kyiv Oblast, and arranged for them a “little fairy tale” by making their wish come true. The children were taken to a 3D New Year show and an Aquapark. That special day will stay in the children’s hearts for a long time. The above residential care institution ensures development, education and social adaptation of orphan children and children without parental care of both school and pre-school age. Today, the institution includes 23 children without parental care.

The company also passed its New-Year greetings to children who attend special classes of a public organization called “In Children’s Hands”, which are focused on corrective work with mentally retarded children, children who have language disorders, children with Down syndrome, autistic and other disorders.

Managing Partner of Lavrynovych & Partners Law Firm Maksym Lavrynovych delivered a speech entitled “VAT Refund under the New Tax Code: a New Conundrum” at Forbes’ first conference in Ukraine “International Trade: Export Opportunities” held on December 4 in Kyiv.

In his speech Maksym Lavrynovych told about the new procedure for refunding VAT from the budget, as well as cases of VAT refund denial. He concluded that almost no one has received automatic VAT refund.

“Automatic VAT refund can only be received by reaching a compromise with the tax authorities.  It is impossible to make the tax service refund VAT automatically. As VAT in Ukraine is perceived as a fiscal tax for some reason, the tax authorities and judicial system use every possibility to delay refunding VAT. In my opinion, one of the reasons for that is very few go to court to recover late payment interest, while the new Tax Code provides that in the event of a delay in VAT refund, a late payment interest of 120% of the discount rate established by the National Bank of Ukraine will be recovered from the state.”

When answering the questions of the conference participants, Maksym Lavrynovych highlighted that one can wait for years for court decisions regarding confirmed VAT refund to be executed, because they are executed by the State Treasury Service in the order in which they are received. He believes, however, that businesses should “discipline” the activity of government agencies and assert violation of their rights in court seeking VAT refund, even if it will be in the form of offset.

On 26 November saw the rewarding of winners of the Second Scholarship Contest in the area of corporate law established by Lavrynovych & Partners Law Firm in cooperation with the Students League of All-Ukrainian Non-Governmental Organization «Ukrainian Bar Association».

First place and a prize of 5,000 hryvnias went to Illya Chernogorenko, a student of the Kyiv National Taras Shevchenko University. Second place with a prize of 3,000 hryvnias were taken by Tetyana Mykhailenko, a student of Kyiv-Mohyla Academy. Third place and a prize of 2,000 hryvnias went to Stepanyda Badovska, a student of the Kyiv National Taras Shevchenko University.

The prizes and certificates were awarded to the winners by Maksym Lavrynovych, Managing Partner of Lavrynovych & Partners Law Firm, who also gave presents to the authors of the top ten selected papers.

The contest was aimed at the professional development of students, promotion of research in the area of corporate law. Entries were submitted from 20 September to 20 October 2012. The contest involved law students from 13 universities in Kiev, Kharkov, Odessa, Lviv, Chernivtsi and Ostrog.
